DRAFT FOR UK SOLICITOR REVIEW — NOT YET IN FORCE. This document has not been reviewed by a solicitor, is not a finished legal agreement, and must not be relied on, published, linked from checkout, or shown to a customer as binding terms until a qualified UK solicitor has reviewed and approved it and PrimeStart has confirmed it is in force.
Website + SEO Terms
These terms cover PrimeStart’s combined Website + SEO plan: the Website service and the SEO service, sold together for one monthly fee. Because the two components have different minimum terms and can be ended separately, this document explains how they fit together as well as what each one covers.
Who this agreement is between
This agreement is between you (the customer named on the order) and PrimeStart.
[DECISION REQUIRED: insert PrimeStart’s registered company name, company registration number, registered office address and, if applicable, VAT number, once confirmed. None of these details have been supplied and none are invented here.]
What is included
Website + SEO combines two services:
- The Website. A custom WordPress website (generally up to five pages), domain registration and management, managed hosting, SSL, security, monitoring, regular backups, WordPress and plugin updates, enquiry forms, support and reasonable small changes subject to fair use, the Client Platform, and good SEO foundations (the technical basics, structure, metadata, indexability, schema basics, performance and image SEO).
- The SEO service. Ongoing monthly work on your website’s visibility in Google: a full review of the site, recommended on-page changes, three agreed target searches, Google Business Profile setup and upkeep, local listings consistency, monthly work on the pages that matter, tracking, and a monthly report.
SEO does not guarantee any search ranking, position or number of enquiries. It describes the work PrimeStart will carry out every month, not an outcome PrimeStart can promise. Search engine rankings depend on many factors outside PrimeStart’s control.
Price and payment
Website + SEO costs £349.99 a month in total. The website is included in that figure and is never charged separately or on top. There is no setup fee. The fee is charged in advance, by the payment method you provide at checkout, and continues automatically until the agreement ends as set out below.
[DECISION REQUIRED: confirm the exact billing date/cycle mechanics, what happens on a failed or declined payment, any grace period before suspension, and whether prices can be increased during a minimum term or only afterwards, with what notice. None of this has been approved and nothing is assumed here.]
Two components, two minimum terms
The Website component has an initial minimum term of 18 months. The SEO component has its own initial minimum term of 6 months. Every month you are on Website + SEO counts towards both minimum terms at the same time — taking SEO alongside your website does not start a second, separate 18-month website term.
After the SEO component’s 6-month minimum term has been completed, you may remove SEO on 30 days’ notice. Removing SEO does not end the agreement: your Website continues, without interruption, for the remainder of its own 18-month minimum term (and afterwards on a rolling monthly basis). Removing SEO must never be treated as terminating the Website agreement.
[DECISION REQUIRED: the monthly rate the Website continues at once SEO is removed. Website on its own is £49.99 a month and that is the working assumption used by the website and the product architecture, but it has not been approved as the contractual rate for a customer who joined on the combined signup price. It must be confirmed before this document is relied on and before billing goes live.]
After both minimum terms have been completed, the whole arrangement continues on a rolling monthly basis, and either component, or the whole plan, may be ended on 30 days’ notice.
[DECISION REQUIRED: what happens if you want to cancel the Website component, or the whole plan, before its 18-month minimum term ends. No early-cancellation fee, settlement figure, or calculation method has been approved, so none is stated here. This clause must be completed before the document is relied on.]
Moving to this plan from the Website
Website on its own is £49.99 a month. The difference between the two plans, £300.00 a month, is what adding ongoing SEO work costs.
If you are already on Website and later add SEO, your plan becomes Website + SEO at £349.99 a month in total. The months you have already paid towards the Website’s 18-month minimum term continue to count; adding SEO does not start that term again.
[DECISION REQUIRED: the SEO rate for a Website + SEO customer who continues SEO after the Website’s 18-month minimum term has been completed. It has not been approved whether SEO continues at £349.99 a month or moves to another rate at that point, and nothing is assumed here. This clause must be completed before the document is relied on and before billing goes live.]
Support and reasonable small changes
Support and reasonable small changes to your website are included, subject to fair use, in the same way as under Website on its own. Ongoing SEO content work is covered separately by the SEO component described above.
What you keep at the end of the Website minimum term
After the Website component’s 18-month minimum term, the completed website is yours to keep on the plan, or to take with you if you decide to move it elsewhere.
[DECISION REQUIRED: the precise mechanism for “taking the website with you”, and the ownership/licensing position for custom code, design and content created for you, has not been approved. No intellectual property assignment terms are stated here.]
What is not included
- Any guarantee of search ranking, position, traffic or enquiries.
- Paid advertising of any kind (for example Google Ads or social media advertising).
- Large redesigns, new sections beyond the agreed page count, or bespoke functionality outside reasonable small changes.
- Target searches beyond the three agreed, unless you agree a change with PrimeStart.
Suspension and ending the agreement for breach
PrimeStart may suspend or end the service if payment is not made, if the website is used unlawfully, or if these terms are seriously or repeatedly broken.
[DECISION REQUIRED: the specific notice periods, cure periods and process for suspension/termination for breach have not been approved and are not stated here.]
Changes to these terms or the service
PrimeStart may update these terms or the service from time to time, for example to reflect a change in the law or in how the service is provided. Where a change materially affects you, PrimeStart will tell you in advance.
Data protection
Information about how PrimeStart collects, uses and protects personal data, including data gathered through Google Business Profile and search tracking, is set out in the Privacy Policy. This document does not repeat those details; the Privacy Policy is the authoritative source.
Liability
[DECISION REQUIRED: no limitation or exclusion of liability, no liability cap (financial or otherwise), and no list of excluded loss types has been approved. Nothing of that kind is stated here. This is a clause a UK solicitor should draft, not one this document should guess at.]
Governing law
This agreement is expected to be governed by the law of England and Wales. [DECISION REQUIRED: the specific jurisdiction clause has not been approved and is not stated here.]
Contact
[DECISION REQUIRED: insert the confirmed contact method (email address and/or postal address) for questions about this agreement, notices, and complaints, once approved.]
Reminder: this page is a draft prepared for solicitor review. It has not been reviewed by a solicitor and is not currently in force.
