Website Subscription Terms

DRAFT FOR UK SOLICITOR REVIEW — NOT YET IN FORCE. This document has not been reviewed by a solicitor, is not a finished legal agreement, and must not be relied on, published, linked from checkout, or shown to a customer as binding terms until a qualified UK solicitor has reviewed and approved it and PrimeStart has confirmed it is in force.

Website Subscription Terms

These terms cover PrimeStart’s Website: a website built, hosted and looked after by PrimeStart for a monthly fee. They are written in plain, everyday language so you know what you are agreeing to. Where a word has a specific meaning we say so; otherwise it means what it normally means.

Who this agreement is between

This agreement is between you (the customer named on the order) and PrimeStart.

[DECISION REQUIRED: insert PrimeStart’s registered company name, company registration number, registered office address and, if applicable, VAT number, once confirmed. None of these details have been supplied and none are invented here.]

What Website is

Website is a subscription service. For a single monthly fee, PrimeStart builds you a custom WordPress website (generally up to five pages), registers and manages the domain, hosts the site, keeps it secure and backed up, keeps WordPress and its plugins up to date, provides enquiry forms, and gives you support and reasonable small changes, subject to fair use. There is no setup fee and no upfront website design fee.

The plan includes good SEO foundations: the technical basics, a sensible page structure, correctly filled-in metadata, a site that search engines can properly read and index, basic structured data (schema), reasonable performance, and image SEO. This is the groundwork every website should have. It is not an ongoing SEO campaign, keyword targeting, content marketing, link building, Google Business Profile management, or monthly reporting on search rankings. Customers who want that ongoing work take Website + SEO, which is the only way PrimeStart sells it.

Price and payment

Website costs £49.99 a month. There is no setup fee and no upfront website design fee. The fee is charged in advance, by the payment method you provide at checkout, and continues automatically until the agreement ends as set out below.

[DECISION REQUIRED: confirm the exact billing date/cycle mechanics (e.g. anniversary of sign-up vs a fixed monthly date), what happens on a failed or declined payment, any grace period before suspension, and whether prices can be increased during the minimum term or only afterwards, with what notice. None of this has been approved and nothing is assumed here.]

Minimum term and cancellation

Website has an initial minimum term of 18 months from the date the agreement starts. After the minimum term ends, the plan continues on a rolling monthly basis. Once you are past the minimum term, either you or PrimeStart may end the agreement by giving 30 days’ notice.

[DECISION REQUIRED: what happens if you want to cancel before the 18-month minimum term ends. No early-cancellation fee, settlement figure, or calculation method has been approved, so none is stated here. This clause must be completed before the document is relied on.]

What you keep at the end of the minimum term

After the minimum term, the completed website is yours to keep on Website, or to take with you if you decide to move it elsewhere.

[DECISION REQUIRED: the precise mechanism for “taking the website with you” (for example: what PrimeStart hands over, in what format, within what timeframe, and any charge for the handover), and the ownership/licensing position for custom code, design and content created for you during the subscription, has not been approved. No intellectual property assignment terms are stated here and none should be assumed until this is confirmed.]

Support and reasonable small changes

Support and reasonable small changes to your website are included, subject to fair use. This is intended to cover the ordinary running adjustments a small business needs — updating text, swapping a photo, correcting a detail — rather than repeated large rebuilds or new functionality. If a request goes beyond reasonable small changes, PrimeStart will tell you before doing any work, rather than simply charging you afterwards.

What is not included

  • An ongoing SEO campaign, keyword targeting, Google Business Profile management, or monthly SEO reporting (see the separate Website + SEO plan).
  • Paid advertising of any kind (for example Google Ads or social media advertising).
  • Large redesigns, new sections beyond the agreed page count, or bespoke functionality outside reasonable small changes.
  • Content PrimeStart has not been given permission or supplied the material to use.

Suspension and ending the agreement for breach

PrimeStart may suspend or end the service if payment is not made, if the website is used unlawfully, or if these terms are seriously or repeatedly broken.

[DECISION REQUIRED: the specific notice periods, cure periods and process for suspension/termination for breach have not been approved and are not stated here.]

Changes to these terms or the service

PrimeStart may update these terms or the service from time to time, for example to reflect a change in the law or in how the service is provided. Where a change materially affects you, PrimeStart will tell you in advance.

Data protection

Information about how PrimeStart collects, uses and protects personal data is set out in the Privacy Policy. This document does not repeat those details; the Privacy Policy is the authoritative source.

Liability

[DECISION REQUIRED: no limitation or exclusion of liability, no liability cap (financial or otherwise), and no list of excluded loss types has been approved. Nothing of that kind is stated here. This is a clause a UK solicitor should draft, not one this document should guess at.]

Governing law

This agreement is expected to be governed by the law of England and Wales. [DECISION REQUIRED: the specific jurisdiction clause (which courts have exclusive or non-exclusive jurisdiction, and how this applies if you are based outside England and Wales) has not been approved and is not stated here.]

Contact

[DECISION REQUIRED: insert the confirmed contact method (email address and/or postal address) for questions about this agreement, notices, and complaints, once approved.]
